ProxyBudy – Terms & Conditions

Welcome to ProxyBudy (“ProxyBudy,” “we,” “our,” or “us”). ProxyBudy provides a digital platform that connects businesses and individuals (“Customers”) with independent professionals (“Freelancers” or “Service Providers”) who can perform short-term, location-specific, or urgent assignments on behalf of the Customer.

By accessing or using ProxyBudy’s website, mobile application, or related services (collectively, the “Platform”), you agree to comply with and be bound by these Terms & Conditions (“Terms”). Please read them carefully before using the Platform. If you do not agree, you must stop using ProxyBudy immediately.

1. Definitions

  • Platform: The ProxyBudy website, mobile app, tools, and related services.

  • Customer: Any individual or business seeking services through ProxyBudy.

  • Freelancer / Service Provider: An independent professional offering services on ProxyBudy.

  • Task / Assignment: A specific job, visit, or service requested by a Customer and accepted by a Freelancer.

  • Escrow: Payment mechanism where funds are pre-authorized by the Customer and released upon task completion.

  • Deliverables: Reports, photos, documents, or outcomes produced during a task.

2. Scope of Services

  1. ProxyBudy acts solely as a facilitator to connect Customers with Freelancers.

  2. ProxyBudy does not provide services directly, employ Freelancers, or guarantee any outcomes.

  3. Freelancers are independent contractors, not employees, representatives, or agents of ProxyBudy.

  4. Customers and Freelancers acknowledge that ProxyBudy is not a party to the service agreement between them.

3. Eligibility

  • Users must be at least 18 years old and legally capable of entering into binding agreements.

  • Customers must have valid business or individual credentials.

  • Freelancers must have the necessary skills, qualifications, and licenses to perform assigned tasks.

  • ProxyBudy reserves the right to verify user identities and reject or terminate accounts.

4. Account Registration

  1. Users must create an account by providing accurate and complete information.

  2. Freelancers must provide details such as name, contact, city, years of experience, availability, and professional expertise.

  3. Customers must provide company name, contact details, task description, and requirements.

  • Users are responsible for maintaining confidentiality of login credentials. ProxyBudy is not liable for unauthorized account usage.

5. Payments & Fees

  1. All payments must be processed through ProxyBudy’s platform.

  2. Customers authorize ProxyBudy to hold payments in escrow until the task is marked as completed.

  3. ProxyBudy charges a service fee (percentage of transaction) deducted before freelancer payout.

  4. Payments outside the platform are strictly prohibited (see Section 11).

  5. Freelancers are responsible for their own taxes, GST, and legal compliance in their jurisdiction.

  6. Customers agree to make timely payments; failure to do so may result in account suspension.

6. Task Acceptance & Completion

  • Customers must provide clear and accurate instructions for each task.

  • Freelancers must accept or decline tasks promptly.

  • Once accepted, a Freelancer is obligated to complete the task professionally within the agreed timeframe.

  • Customers must confirm completion within 24 hours of submission; otherwise, funds may be auto-released.

7. Cancellations & Refunds

  • Customer Cancellations:

    • 24+ hours before task → full refund (minus service fee).

    • <24 hours → 50% refund.

  • Freelancer Cancellations / No-Shows:

    • Freelancers who cancel after acceptance may face penalties.

    • Repeated cancellations → account suspension.

  • ProxyBudy reserves the right to review disputes and issue refunds at its discretion.

8. Freelancer Obligations

Freelancers must:

  1. Perform tasks with honesty, professionalism, and diligence.

  2. Provide accurate updates and submit deliverables (reports/photos/templates) through the Platform.

  3. Maintain confidentiality of all customer information and documents.

  4. Not engage in misconduct, including harassment, fraud, theft, or illegal activities.

  5. Comply with all applicable laws, regulations, and safety standards.

  6. Not subcontract tasks without prior written consent of ProxyBudy.

9. Customer Obligations

Customers must:

  1. Provide safe and lawful work environments for freelancers.

  2. Ensure task details are accurate and complete.

  3. Not request tasks that are illegal, unethical, or unsafe.

  4. Respect freelancers’ time and availability.

  5. Use ProxyBudy’s reporting formats/templates where applicable.

10. Confidentiality & Data Protection

  • Freelancers agree not to disclose any confidential or proprietary information obtained during tasks.

  • Customers agree not to misuse freelancer contact details.

  • ProxyBudy will collect, store, and process personal data as per its Privacy Policy.

  • Both parties agree to comply with data protection laws (e.g., GDPR, Indian IT Act).

11. Off-Platform Transactions (Non-Circumvention)

  • Customers and Freelancers must not engage in direct transactions outside ProxyBudy for connections made through the platform.

  • Any attempt to bypass ProxyBudy’s payment system may result in:

    • Account suspension/termination.

    • Penalties equal to the service fees avoided.

    • Withholding of pending payments.

12. Ownership of Deliverables

  • Unless otherwise agreed, all deliverables (reports, notes, photos, documents) are the exclusive property of the Customer.

  • Freelancers may not reuse, resell, or disclose work products without Customer consent.

13. Dispute Resolution

  1. In case of conflict, Users must first attempt resolution through ProxyBudy’s mediation system.

     

  2. If unresolved, disputes will be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India).

     

  3. Arbitration venue: [Pune, Maharashtra].

     

  4. ProxyBudy’s decision on refunds, penalties, or payouts shall be final and binding.

14. Limitation of Liability

  • ProxyBudy is not responsible for:

    • Quality, accuracy, or timeliness of freelancer work.

    • Delays caused by Customers or Freelancers.

    • Loss of profits, data, or opportunities.

  • ProxyBudy’s maximum liability shall not exceed the service fee earned from the disputed transaction.

15. Termination & Suspension

  • ProxyBudy may suspend or terminate accounts if:

    • Terms are violated.

    • Fraudulent or unlawful activity is suspected.

    • Multiple disputes, no-shows, or misconduct occur.

  • Users may request account closure at any time, but pending obligations must be fulfilled.

16. Indemnification

Users agree to indemnify and hold ProxyBudy harmless from any claims, losses, damages, or expenses arising from:

  • Breach of these Terms.

  • Misconduct by Customers or Freelancers.

  • Use of the Platform in violation of applicable laws.

17. Governing Law & Jurisdiction

  • These Terms shall be governed by the laws of India.
  • Exclusive jurisdiction lies with the courts of Pune, Maharashtra

18. Amendments

  • ProxyBudy reserves the right to amend or update these Terms at any time.

  • Continued use of the Platform after updates constitutes acceptance of revised Terms.
